Your continued use of the Site following the posting of changes or modifications will confirm your acceptance of such changes or modifications. Please review these terms and conditions periodically and check the version date for changes.

The headings in these Terms of Use are solely used for convenience and have no legal or contractual significance. We may assign this Agreement, in whole or in part, at any time without notice to you and upon such assignment will be relieved of any further obligation under these Terms of Use. You may not assign, transfer or sublicense your rights, if any, under these Terms of Use. Our delay or failure to exercise or enforce any right or provision of these Terms of Use with respect to a breach by you or others shall not constitute or be construed as a waiver of such right to act. We shall not be responsible for any breach of these Terms of Use caused by circumstances beyond our control.

These Terms of Use together with the Privacy Policy and Cookie Policy constitute the entire agreement between you and us with respect to the use of our website.

1. Restrictions on Use

You agree not to:

  • Use our Services in any manner that is illegal, immoral or harmful to us
  • Remove or alter any copyright notices that appear on our website
  • Publish any material that may encourage a breach of any relevant laws or regulations
  • Transmit any material designed to interrupt, damage, destroy or limit the functionality of our website or the Services

  • Use the Services other than for your own personal use

2. Modification of Services

We reserve the right to modify or discontinue the Service or a portion or attribute thereof, or the offering of any information, good, content, product or service with or without notice. We shall not be liable to you or any third party should we exercise its right to modify or discontinue the Service or part of it.

3. Introductions, Engagements and Commission

We are an introducer. We match you to people within our collective and to venues, and we make the introduction. We do not plan, produce or deliver events ourselves and we do not supply the services you go on to engage.

Any engagement that follows an introduction is a contract between you and that member or venue directly. We are not a party to it. We do not sign it, we do not conclude it as your agent, and we accept no liability under it. The scope, fees, cancellation provisions and all other terms of that engagement are agreed between you and the member or venue, and not with us.

We give no warranty as to any member's or venue's performance, insurance, licensing, qualifications or regulatory compliance. You are responsible for satisfying yourself as to the terms offered, the insurance held and the suitability of any member or venue before entering into an engagement with them.

We may receive a fee or commission from members of the collective and from venues in respect of work introduced through us. This is disclosed here so that you are aware of it before entering into any engagement.

4. Third Party Advertising and Business Dealings

This section concerns advertisers and third-party promotions. Your dealings with members of our collective and with venues are governed by section 3 above.

We may run advertisements and promotions from third parties on the Site or may otherwise provide information about or links to third-party products or services on the Site. Your business dealings with or participation in the promotions of such third parties, and any terms, conditions, warranties, or representations associated with such dealings or promotions, are solely between you and such third party.

We are not responsible for and do not guarantee the price, terms, performance, quality, accuracy, availability or legality of any products, services, promotions or information offered by any advertiser. We are not responsible or liable for any loss or damage of any sort incurred as the result of such dealings or promotions or as a result of such third party information or advertisements on the Site.

If you have a dispute with one or more advertisers or other third parties, you release us from any claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

5. Registration and Security

You must be over eighteen years of age to register on our website and must ensure that the details provided by you on registration are true, accurate, current and complete. It is your responsibility to update and inform us of any changes to the details provided on registration.

Although certain parts of our website may be used by anyone who visits without requiring registration, some of the Services require you to register in order to enable us to verify your identity. By registering with the service, you agree that we can send you emails about your account, other services and occasional third party offers. You can manage your communication preferences or unsubscribe from communications at any time.

When registering, you will be asked to create a password and will be responsible for maintaining the confidentiality of your password and restricting access to your computer, as you will be accountable for any activities conducted under your password. If you believe that someone has accessed your account without authorisation, please contact us immediately.

6. End-user and Members Responsibilities

You may view content details ("Details") such as events and other content hosted and developed by us via our website. Details are hosted by us in good faith but are produced directly by our partners and have not been verified by us. You are responsible for making your own enquiries and we provide no guarantee and accept no responsibility for the accuracy or completeness of any information contained within the Details.

Your responsibilities in relation to any engagement with a member of our collective or with a venue are set out in section 3 above.

  • You are responsible for checking, confirming and satisfying yourself as to the accuracy of any Details
  • You are responsible for ensuring that you act in good faith towards any other parties
  • You must not divulge confidential data or information received from any party contacted on the Site. This shall not apply to any data or information that are public knowledge at the time they are so provided by the party, and it shall cease to apply if, at any time in the future, they become public knowledge through no fault of yours

7. Club Membership and the Membership Fee

Membership of The LIT.ME Club is by admission. Where we admit you, we tell you at that point whether your admission is complimentary or carries a membership fee, and on what terms the fee is payable. Where a fee applies, we state the amount and how often it falls due in the offer we send you, and both are shown again on the checkout page before you pay. No fee is payable unless we have made you an offer that states it.

The annual fee. Where the offer we made you states that the membership fee is payable annually, your membership continues for as long as the fee is paid. We will tell you before each year's fee falls due, and we will tell you in advance if the amount is to change. Where the offer states that the fee is payable once, nothing further is payable and your membership does not renew.

The fee buys membership of the Club: access to the member areas of this website and to the invitations, introductions and member communications we extend to members from time to time. It does not buy any event, any venue, any member's services or any other engagement. Those are contracted for directly with the member or venue concerned, on the terms set out in section 3, and are paid for separately.

Your right to cancel. You join at a distance, so you have the right to cancel within fourteen days of the day we admit you, under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. You do not have to give a reason. To cancel, tell us in writing through our enquiries page before the fourteen days are up; a clear statement that you are cancelling is enough. We will refund the fee within fourteen days of receiving your notice, using the same method you used to pay. If you ask us to give you access to the member areas straight away and we do, you agree that we may keep a proportionate amount of the fee for the period before you cancelled.

Ending your membership. After those fourteen days you may end your membership at any time by telling us in writing through our enquiries page. Your membership then runs to the end of the period you have paid for and does not renew. The fee for that period is not refunded, and no part of it is refunded for the unexpired part of the period, except where the law requires it or where we end your membership for a reason other than your breach of these Terms of Use.

If a fee is not paid. Where an annual fee falls due and is not paid, your membership lapses and your access to the member areas ends. We will tell you before that happens. A lapsed membership does not entitle you to a refund of any fee already paid. If we later readmit you, we do so on the terms in force at that time.

If the Club closes. We may close the Club or withdraw the member areas at any time. We will tell you if we do. Fees already paid are not refunded.

We may end your membership if you breach these Terms of Use. Where we do, no fee is refunded. Ending your membership does not affect any engagement you have already entered into with a member or venue, which is a separate contract between you and them.

8. Occasions We Hold and Occasions We Invite You To

We hold occasions for members of The LIT.ME Club, and we invite members to occasions held by other people. These are two different things and this section says which is which, because the answer decides who you are dealing with.

Where we hold the occasion. Some occasions are held by us under our own name. For those, and only those, we are the host. We are responsible for the occasion as we hold it, and section 3 does not apply to your attendance: there is no introduction and no separate engagement between you and anyone else. We remain responsible to you under the law for the reasonable care and skill with which we hold it, and nothing in these Terms of Use limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot lawfully be limited.

Where we hold an occasion, we engage the venue, the performers, the suppliers and the staff for it, and we do so on our own account. Those people are not introduced to you and you do not contract with them. If something they do affects your attendance, take it up with us.

Where somebody else holds the occasion. Most occasions we invite you to are held with or by a partner, and the partner is named on the occasion. For those, the partner is the host. We extend the invitation, we hold the guest list and we pass your name to the host so that you can be admitted. We are not the host, we do not hold the occasion, and we accept no liability for it or for anything that happens at it. Your admission is on the host's terms and, where you go on to engage the partner or the venue for anything of your own, section 3 applies to that engagement in full.

Where an occasion is ticketed. Some occasions require a ticket, which is sold through a ticketing provider rather than by us on this website. The ticket is bought on that provider's terms and the terms of whoever the ticket names as the organiser, and those terms govern the sale, any refund and any transfer. A place on our guest list is not a ticket and does not entitle you to admission where a ticket is required.

Your place is personal and it is not sold. Membership of the Club is what gives you access to invitations, and section 7 says so. An invitation to an occasion is extended to you personally. It is not transferable, it may not be sold, exchanged or advertised, and no fee is charged for it unless the occasion is ticketed. Where an occasion admits guests, you tell us how many and who they are when you respond, you remain responsible for them, and their admission is at the host's discretion.

We may withdraw an invitation or refuse admission. We may withdraw an invitation, close responses, or decline to admit you or a guest, at an occasion we hold or at one we invite you to. Where the occasion is one we hold and you have paid nothing for your place, no refund arises. Where you hold a ticket, any refund is a matter for the ticket's own terms.

Occasions change. Dates, times, rooms, formats and line-ups can move, and an occasion can be cancelled. Where you have told us you are coming, we will tell you if it changes or is cancelled. We are not liable for travel, accommodation or any other cost you incur in reliance on an occasion that changes or does not take place, except where the occasion is one we hold and the loss follows from our failing to take reasonable care.

Where we are paid in connection with an occasion. We may receive a fee or commission from a venue, a partner or a member of the collective in connection with an occasion, on the same basis and for the same reasons as section 3 describes. This is disclosed here so that you are aware of it. It does not change who the host is, and it is not a charge to you.

What you tell us when you respond. When you respond to an invitation we record your answer, the number of guests you are bringing and any names you give us, and we pass what the host and the venue need in order to admit you on the night. Our privacy policy says how we handle that.

9. Availability of Website

We strive to ensure that our website and the Services are available to you at all times but cannot guarantee that either the website or the Services will operate continuously, without interruptions or be fault free. On occasion, necessary maintenance or upgrade work requires us to make the website and the Services unavailable without notice, but we aim to keep downtime to a minimum.

We accept no liability for any interruption or loss of service. We reserve the absolute right to alter, suspend or discontinue any part of our website or the Services, including your access to it.

10. Copyright And License

All copyrighted and copyrightable materials on this Site, including, without limitation, the design, text, search results, graphics, images, pictures, sound files and other files, and the selection and arrangement and compilation of information ("Materials") thereof are proprietary property of LIT.ME Events or its licensors, or users and are protected by United Kingdom and international copyright laws.

You are granted a limited, non-sublicensable right to access this Site, use the Services and print the Materials for your personal, non-commercial, and informational use only. We reserve the right, without notice and in our sole discretion, to terminate your license to use the Site, and to block or prevent future access to and use of the Site.

The foregoing license grant does NOT include the right for you to:

  • Publish, display, or distribute to any third party any Materials, including reproduction on any computer network or broadcast or publications media
  • Market, sell or make commercial use of the Site or any Materials
  • Systematically collect and use of any data or content including the use of any data spiders, robots, or similar data gathering, mining or extraction methods
  • Make derivative uses of the Site or the Materials
  • Use, frame or utilize framing techniques to enclose any portion of this Site (including the images found at this Site or any text or the layout/design of any page or form contained on a page)

All rights in the Materials are reserved in respect of text and data mining, artificial intelligence training and automated reproduction. Nothing on this Site grants permission, express or implied, to use the Materials to train, fine-tune, benchmark or develop any artificial intelligence or machine learning model, or to generate, clone or recreate this Site or its design by automated means.

Our venue directory is protected as a compilation and by database right, its selection and arrangement representing a substantial investment on our part. Extracting or re-utilising the whole or a substantial part of it, including by repeated extraction of insubstantial parts, is prohibited. So is systematic access of any kind by scraper, crawler, headless browser, screenshot service, content-extraction API or automated agent.

Quoting a short extract to answer a question about LIT.ME Events, with attribution and a link to the page quoted, is permitted. Nothing else is.

This reservation of rights is also expressed in machine-readable form. Our robots.txt declares Content-Signal: search=yes, ai-input=yes, ai-train=no under the Content Signals Policy, and our llms.txt sets out the same terms for automated agents. Operating an automated agent or crawler against this Site constitutes acceptance of these Terms, whether or not those files are read. Circumventing, disregarding or evading any technical measure we use to enforce them, including bot detection, rate limiting and access challenges, is a breach of these Terms.

We do not own the photography and other third-party material appearing on this Site. It remains the copyright of its respective owners. LIT.ME Events is a trading name of Royist Ltd, a company registered in England and Wales under company number 11310686, with its registered office at 5th Floor, 167-169 Great Portland Street, London, W1W 5PF. Royist Ltd operates this website and its commercial operations, and is the party you contract with under these Terms.

Royist Ltd is also the data controller for the personal data this website collects, and is registered with the Information Commissioner's Office under registration reference CSN9733293. What we collect, why we use it, who we share it with and the rights you hold are set out in our Privacy Policy. We rely on the lawful bases stated there, not on your consent to these Terms, and nothing in these Terms limits the rights that data protection law gives you.

We are providing these links to you only as a convenience, and the inclusion of any link does not imply affiliation, endorsement, or adoption by us of the site or any information contained therein.

LIT.ME Events is not responsible or liable for the contents of any linked site. You should make whatever investigation you feel necessary or appropriate before proceeding with any transaction with any of these third parties. When leaving this Site, you should be aware that our terms and policies no longer govern, and, therefore, you should review the applicable terms and policies, including privacy and data gathering practices, of that site.

13. Mobile Message Service

The LIT.ME Events mobile message service (the "Service") is operated by LIT.ME Events ("LIT.ME", "we", or "us"). Your use of the Service constitutes your agreement to these terms and conditions ("Mobile Terms"). We may modify or cancel the Service or any of its features without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes.

By consenting to LIT's SMS/text messaging service, you agree to receive recurring SMS/text messages from and on behalf of LIT.ME Events through your wireless provider to the mobile number you provided, even if your mobile number is registered on any state or federal Do Not Call list. Text messages may be sent using an automatic telephone dialing system or other technology. Service-related messages may include updates, alerts, and information (e.g., order updates, account alerts, etc.). Promotional messages may include promotions, specials, and other marketing offers (e.g., cart reminders).

You understand that you do not have to sign up for this program in order to make any purchases, and your consent is not a condition of any purchase with LIT. Your participation in this program is completely voluntary. We do not charge for the Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message frequency varies. Message and data rates may apply. Check your mobile plan and contact your wireless provider for details. We may change any short code or telephone number we use to operate the Service at any time and will notify you of these changes. You acknowledge that any messages, including any STOP or HELP requests, you send to a short code or telephone number we have changed may not be received and we will not be responsible for honoring requests made in such messages.

The wireless carriers supported by the Service are not liable for delayed or undelivered messages. You agree to provide us with a valid mobile number. If you get a new mobile number, you will need to sign up for the program with your new number. These Terms of Use shall be governed by and construed in accordance with English law and the parties agree that any disputes will be settled in English courts, save that we may take action in any relevant jurisdiction to enforce our intellectual property rights.

Should any provision of these Terms of Use be determined to be invalid or unenforceable by any court having competent jurisdiction, then the invalid or unenforceable provision will be replaced with a provision that reflects the intent of the original provision, to the extent permitted by applicable law and all other provisions of these Terms of Use shall remain in full force and effect.
